1.2 Your access to, and use of, the Site is subject to the following Terms of Use and all applicable laws and regulations. By accessing and using the Site, you accept, without limitation or qualification, these Terms of Use.
1.3 Modifications to Terms and to the Site. OneRoom may, at any time and without notice, modify these Terms of Use by revising them on the Site. Your continued use of the Site constitutes your acceptance of any such revisions. It is recommended that you periodically visit this page to review the current Terms of Use. These Terms of Use may not be modified by you except in a written agreement signed by OneRoom. If do not agree to these Terms, do not use the Site. We may modify, suspend, or discontinue any part of the Site at any time without liability to you, provided that we will comply with any applicable legal or contractual obligations.
2. Permitted Use of the Site
The information, content and materials on the Site are provided for general informational purposes. You may use the Site solely for the purpose of learning about our immersive care wall technologies and OneRoom Platform solution or accessing our cloud-based, fully integrated digital health platform (the “OneRoom Health Platform”, or other OneRoom products or services. You may not use, distribute or reproduce or text, graphics, downloads, tools or any other content on the Site for any other purpose.
3. Healthcare-Related Information; No Practice of Medicine and No Medical Advice
3.1 The Site may include general information about health, wellness, and OneRoom Health’s services. Such information is provided for informational purposes only and is not medical advice, diagnosis, or treatment. The information and materials on the Site are not intended to be, and must not be taken to be, the practice of medicine or other healthcare services by OneRoom.
3.2 Use of the Site does not create a patient-provider relationship between you and OneRoom Health or any of our professionals. OneRoom is not endorsing or recommending any specific medical treatment for any medical condition, medication, or healthcare provider or and medical devices or tools..
4. User Obligations, Acceptable Use, and Use Restrictions
4.1 You agree to use the Site only for lawful purposes and in compliance with these Terms and all applicable laws, rules, and regulations.
4.2 You agree not to: (a) copy, distribute, or disclose any part of the Site in any medium except as expressly permitted; (b) use the Site for any fraudulent purpose or to engage in any illegal, offensive, indecent or objectionable conduct; (c) interfere with, disrupt, or attempt to gain unauthorized access to the Site or related systems; (d) upload, transmit, or distribute any viruses, malware, or other harmful code; (e) use any automated system, including “robots,” “spiders,” or “offline readers,” to access the Site in a manner that sends more request messages to the servers than a human can reasonably produce in the same period; (f) reverse engineer, decompile, or attempt to discover any source code or underlying ideas or algorithms of the Site except to the extent permitted by applicable law; (g) infringe, misappropriate, or violate the rights of OneRoom Health or any third party; (h) submit content that is unlawful, defamatory, obscene, harassing, or otherwise objectionable; or (i) use the Site for any purpose related to emergency communications or urgent clinical needs.
5. User Content
5.1 If the Site permits you to submit, upload, post, or otherwise provide content (“User Content”), you grant OneRoom Health a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to host, store, use, reproduce, modify (for formatting or technical purposes), publish, display, and distribute such User Content in connection with operating, improving, and providing the Site.
5.2 You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate these Terms or the rights of any third party.
5.3 We may remove or disable access to any User Content for any reason, including if we determine it may violate these Terms or applicable law.
6. Intellectual Property Rights
6.1 The Site, including all text, graphics, images, trademarks, logos, service marks, software, and other content, and all associated intellectual property rights, are owned by OneRoom Health or our licensors and are protected by copyright, trademark, and other laws.
6.2 Except as expressly permitted by these Terms, you may not copy, reproduce, modify, create derivative works based upon, publicly display, publicly perform, republish, download, store, transmit, or distribute any materials from the Site without our prior written consent.
6.3 Provided you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. Any use of the Site not expressly authorized is prohibited.
7. Third-Party Links and Services
The Site may contain links to third-party websites, applications, or services that are not owned or controlled by OneRoom Health. OneRoom has no control over these linked sites, including even if a third party is affiliated with OneRoom. OneRoom has no control over these linked sites, all of which may have their own separate data collections practices, terms of use, additional terms, or privacy policies or practices, independent of OneRoom. OneRoom is not responsible for their content, security, or privacy practices. The linked sites are only for your convenience, and you access them at your own risk. Without limited the foregoing, OneRoom specifically disclaims any responsibility of such linked sites if they: (a) are inaccurate, misleading, or incomplete, (b) infringe on any third party’s intellection property rights; (c) are merchantable or fit for a particular purpose; (d) do have adequate security or contain viruses, bugs, or other items of a destructive nature; or (e) are defamatory or libelous.
8. Privacy
8.1 Your use of the Site is subject to our Privacy Policy available at www.oneroomhealth.com/privacy-policy. The Privacy Policy is incorporated and made part of these Terms of Use. You agree to such Privacy Policy. Any personal data, such as name, address, telephone number, or email address, that you transmit to the Site by form, electronic mail, or otherwise will be used by OneRoom in accordance with the Privacy Policy. Any other communication, information, or material(s) you transmit to the Site, such as questions, comments, suggestions or the similar communications, will be treated as non-confidential and non-proprietary.
8.2 You understand that the Site is not intended by us to comply with the requirements of the Health Insurance Portability and Accountability Act of 1996 or its associated regulations (“HIPAA Rules”). Under no circumstances will you use any site components to share, store, or process PHI. For any OneRoom service offerings or platform access that involve PHI, such use will be governed by additional notices and agreements presented to you at the point of collection or service.
9. Disclaimer of Warranties
9.1 THE SITE, ITS CONTENT, MATERIALS, SERVICES AND PRODUCTS ON THE SITE ARE PROVIDED "AS IS" and “AS AVAILABLE” TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, ONEROOM HEALTH HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
9.2 We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

YOUR USE OF THE SITE IS AT YOUR OWN RISK, NEITHER ONEROOM, NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS OR DIRECTORS, NOR ANY OF ITS AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR ITS CONTENT, ARE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ONEROOMS’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO ANY DISPUTE UNDER THESE TERMS OF USE (INCLUDING WITHOUT LIMITATION YOUR USE OF THE SITE) IS TO DISCONTINUE YOUR USE OF THE SITE WITHIN THE LIMITATIONS SET OUT BY STATUTORY LAW. IN ANY EVENT, IF ANY OF THE ABOVE PROVISIONS ARE NOT ENFORCEABLE, THE MAXIMUM LIABILITY OF ONEROOM WILL BE LIMITED TO, AT ITS SOLE DISCRETION, THE CORRECTION OR DELETION OF ANY INACCURATE CONTENT OR LINK.
11. Indemnification
You agree to defend, indemnify, and hold harmless OneRoom Health and our affiliates, licensors, and our respective officers, directors, employees, and agents, from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees), resulting from your violation of these Terms of Use or any activity originating from content you submit.
12. Notice; Electronic Communications
When you visit the site or send emails or other communication forms on the site to OneRoom, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices to the Site.
